Terms of Service

These Terms of Service outline the rules and responsibilities for users accessing and using the Leave Management System. By using this system, you agree to the following terms. Please read them carefully before continuing.

1. Acceptance of Terms

By registering for or using the Leave Management System, you affirm that you are legally able to enter into this agreement and agree to abide by these terms. These terms apply to all users of the system, including company administrators, HR staff, and employees. If you do not accept these terms, you are not authorized to use the system, and any unauthorized access is strictly prohibited.

2. Free Beta and Future Pricing

The system is currently offered as a free beta version for testing and feedback purposes. During this period, features may be added, modified, or removed without prior notice. We reserve the right to introduce subscription-based pricing in the future. Users will be provided with a minimum of 30 days' advance notice before any transition to paid plans. Continued use of the platform after such changes will constitute acceptance of the new pricing terms.

3. Professional Services

We may offer optional paid services such as personalized onboarding, extended support, feature customization, or system integration. These services will be defined through separate service agreements (Statement of Work - SOW) which will take precedence over general terms. Any commitments, deliverables, or use of source code related to these services will be honored strictly as specified in the agreed SOW and associated pricing.

4. User Responsibilities

Users are responsible for maintaining the confidentiality of their login credentials and for all activities conducted under their account. You must ensure that the data you input into the system is accurate, lawful, and complies fully with your company’s internal policies and applicable laws. Maintaining credential security and data accuracy is critical to protecting your account and ensuring compliance. Abusive, fraudulent, or unauthorized use of the platform may result in access restrictions or permanent removal from the system.

5. Intellectual Property

The Leave Management System, including its source code, design, algorithms, and branding, is the exclusive intellectual property of the provider. All rights are reserved. While users retain ownership of their submitted data, you grant us a non-exclusive right to use, store, and process that data as needed to provide services, ensure security, and improve the system functionality.

6. Termination

We reserve the right to suspend or terminate your access to the system at any time if we determine that you have violated these Terms of Service or misused the platform in any way. Users may also voluntarily terminate their accounts by written request. Upon termination, your access will be revoked, and your data will be handled per our data retention and deletion policy.

7. Warranties Disclaimer

The Leave Management System is provided on an "as is" and "as available" basis without warranties of any kind. We do not guarantee that the platform will be uninterrupted, error-free, or compatible with all systems. Specifically, no guarantee is given regarding the accuracy or error-free nature of any calculations performed by the system. All risk associated with the use of the system lies solely with the user. We disclaim any warranties, express or implied, including merchantability and fitness for a particular purpose.

8. Limitation of Liability

Under no circumstances shall the provider be liable for any direct, indirect, incidental, or consequential damages arising from your use of the platform. This includes, but is not limited to, loss of data, business interruption, reputational damage, or other financial loss. The maximum liability cap is limited to the higher of ₹10,000 or the total fees paid by you in the past year. Your sole and exclusive remedy for dissatisfaction with the system is to discontinue its use.

9. Indemnification

You agree to indemnify and hold harmless the provider, its employees, affiliates, and contractors from any claims, liabilities, damages, losses, or legal expenses arising from your use of the platform or your breach of these terms. This indemnification includes claims made by third parties or legal authorities related to data misuse or policy violations.

10. Changes to Terms

We reserve the right to update these Terms of Service at any time. When changes are made, we will notify you via email or display an in-app notice. It is your responsibility to review the terms regularly. Your continued use of the platform after any changes means you accept the revised terms in full.

11. Governing Law

These terms and any disputes arising from or relating to them shall be governed by the laws of India. You agree that the courts of Delhi shall have exclusive jurisdiction over any matters relating to these terms or your use of the Leave Management System. All disputes will be resolved in accordance with Indian legal procedures, specifically under the jurisdiction of the Delhi courts.
